Secretarial Audit -Major compliance under the Companies Act

Secretarial Audit is a process to check compliance with the various laws and rules/ regulations/ procedures, maintenance of books, records etc.by an independent professional to ensure that the company has complied with the legal and procedural requirements and also followed due process. Applicability
Mandatorily:  Every Listed company or every public company having a paidup share capital of Rupees fifty crore or more; or every Public company having a turnover of Rupees Two Hundred fifty crore or more; or every company having outstanding loans or borrowing from Bank or public financial institution of Rupees One Hundred crore or more; or every private company which is subsidiary of public company with above criteria.

Voluntarily: any company can prefer to conduct it.

The Secretarial Report shall be in the Form MR-3 annexed with the Board Report and only company secretary is recognized to conduct and issue the report for the same.
